Company formation · GmbH, AG & sole proprietorship

Your company: set up properly

From choosing the legal form to entry in the commercial register: we set up your GmbH, AG or sole proprietorship, including for founders from abroad.

The legal form determines liability, taxes and capital. We choose it together with you.

A formation is more than a trip to the authorities: legal form, share capital, articles of association, social insurance and taxes are all interconnected. We organise the steps, handle the correspondence with the notary and commercial register, and make sure you are set up properly from the start.

You tell us what you have in mind — we tell you honestly which legal form fits, what it costs and how long it takes. Even if you are founding from abroad, we guide you through every step.

Frequently asked

In short

01

How long does it take to form a GmbH?

Usually two to four weeks once all documents are in place — depending on your canton's commercial register. With prepared documents it goes faster; our checklist helps with that.

02

How much capital do I need?

For a GmbH at least CHF 20'000 (fully paid in), for an AG at least CHF 100'000 (of which CHF 50'000 paid in). The sole proprietorship has no capital requirement.

03

Can I form a company in Switzerland as a foreigner?

Yes. A GmbH or AG can also be formed by people resident abroad — what matters is that at least one person with signing authority is resident in Switzerland. We explain the requirements to you and guide you through.

04

Do I need a Swiss business address?

Yes, your company needs a registered domicile in Switzerland. We advise you on the registered address and the associated obligations.

05

What does the formation cost?

At Planet you can establish your company at a flat rate: sole proprietorship CHF 550, GmbH CHF 2'500 (incl. notary), AG CHF 3'500 (incl. notary) — each including registration with the compensation office, VAT and commercial register. The statutory capital is additional. Our formation cost calculator provides an overview.
