Company formation in Zug
Founding a GmbH, AG or sole proprietorship in the canton of Zug — from the choice of legal form to the commercial register entry, at a fixed price that includes the notary.
Zug is Switzerland's most popular place to incorporate. We make sure your company is set up correctly from day one.
Low taxes, an international business community and a commercial register office used to founders from all over the world: that is why so many companies choose Zug. What the brochures do not say is that a formation still involves articles of association, a capital deposit account, a notarial deed, registrations for VAT and social insurance, and a series of decisions that are hard to undo later. Planet GmbH handles the whole process for you, at a fixed price that includes the notary.
We are a Swiss fiduciary based in Wildegg (Aargau), about an hour from Zug. Formation work happens mostly on paper and with the authorities, so distance is not a constraint. The notarial deed for a GmbH or AG is signed at the notary; we prepare everything and can arrange the appointment for you. Founders from abroad can grant a power of attorney and do not need to travel for every step.
The rules are the same throughout Switzerland: a GmbH needs CHF 20,000 in share capital, an AG CHF 100,000 (of which at least CHF 50,000 paid in), a sole proprietorship needs no capital but must be registered from CHF 100,000 turnover. Which form suits you depends on liability, taxes, investors and how you plan to pay yourself — that is what we discuss in the free initial meeting.

What is special about founding in Zug
Zug combines one of the lowest corporate tax burdens in Switzerland with a compact administration. The commercial register office and the cantonal tax administration are both in the city of Zug and are used to English-speaking founders. Processing is fast when the file is complete — and that is our job.
Holdings, trading companies and technology firms are common in Zug, and their structures raise questions early: multi-currency bookkeeping, intercompany contracts, VAT on cross-border services. We answer them before the formation, not after.
A registered office in Zug requires a real address in the canton. We tell you honestly what a domicile arrangement means for taxes and substance, and what the authorities expect to see.

Company formation in Zug — your questions
How long does a formation in Zug take?
Once the capital deposit confirmation and the signed documents are available, the commercial register entry usually follows within a few working days. The overall timeline depends mostly on the bank account opening, which we help you prepare.
Can I found a company in Zug while living abroad?
Yes. A GmbH or AG needs at least one person with signing authority who is resident in Switzerland. We explain the options — including a power of attorney for the notarial deed — and organise the steps.
GmbH or AG — which one should I choose?
A GmbH needs CHF 20,000 capital and is the usual choice for owner-managed companies. An AG needs CHF 100,000 (at least CHF 50,000 paid in), keeps shareholders anonymous and is preferred by investors. We compare both for your case in the initial meeting.
Is the price really fixed?
Yes. CHF 2,500 for a GmbH and CHF 3,500 for an AG include our work and the notary. Only official fees of the commercial register and the canton are added at cost, and we tell you their amount in advance.
